1074-1 CORPORATIONS
(a) Representation by an Attorney Corporations must be represented by an attorney. A corporation or other business entity may file certain administrative documents without an attorney. These administrative documents, include, but are not limited to, a change of address, reaffirmation agreement, transfer of claim, proof of claim, or application to withdraw unclaimed funds.
(b) Authorization for Filing a Petition A corporation must file a resolution by its board of directors authorizing the bankruptcy filing. A limited liability company must file a certificate with a bankruptcy petition stating that the filing is authorized by the company's operating agreement. In the absence of an operating agreement, a statement or resolution regarding the authority and authorization of the person signing the petition shall be filed with the petition.
