6. Limitation of liability

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO YOUR USE OF THIS SITE SHALL NOT EXCEED FIFTY DOLLARS ($50.00), REGARDLESS OF THE FORM OF THE ACTION OR THE BASIS OF THE CLAIM.

7. Indemnification

You agree to indemnify, defend, and hold harmless Michigan Legal Publishing Ltd., its members, officers, employees, contractors, and agents (collectively, "Indemnified Parties") from and against any and all claims, demands, actions, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) asserted by any third party arising out of or relating to: (a) your use of or reliance on this site or any content on this site; (b) your violation of these Terms; or (c) any legal matter, court proceeding, or professional context in which you used or cited content from this site.

10. Dispute resolution and binding arbitration

Please read this section carefully. It affects your legal rights.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of this site ("Dispute") shall be resolved exclusively by binding arbitration, except as set forth below.

CLASS ACTION WAIVER. YOU AND MICHIGAN LEGAL PUBLISHING LTD. EACH WAIVE THE RIGHT TO BRING OR PARTICIPATE IN ANY CLASS ACTION, CLASS ARBITRATION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING OF ANY KIND. ALL DISPUTES MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY ONLY.

JURY TRIAL WAIVER. YOU AND MICHIGAN LEGAL PUBLISHING LTD. EACH WAIVE THE RIGHT TO A TRIAL BY JURY FOR ANY DISPUTE NOT RESOLVED THROUGH ARBITRATION.

Arbitration shall be conducted by a single arbitrator under the rules of the American Arbitration Association ("AAA"). If you are using this site as a consumer (for personal, family, or household purposes), the AAA Consumer Arbitration Rules shall apply; otherwise, the AAA Commercial Arbitration Rules shall apply. This arbitration agreement is governed by the Federal Arbitration Act, 9 U.S.C. ยง 1 et seq. The arbitration shall take place in Kent County, Michigan, unless the parties agree otherwise or the applicable AAA rules require a different location. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Exceptions. Either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration. Small claims court actions within applicable jurisdictional limits are also excluded from this arbitration requirement.

11. Governing law

These Terms and any Disputes not subject to arbitration shall be governed by the laws of the State of Michigan, without regard to its conflict-of-law provisions. You consent to personal jurisdiction in the state and federal courts located in Kent County, Michigan for any matters not subject to arbitration.

12. Notices

Notices sent via our contact form are sufficient for general feedback and questions but are not sufficient for legal demands. Formal legal notices to Michigan Legal Publishing Ltd., including indemnification demands, copyright claims, and other legal process, must be sent by certified mail to:

13. General provisions

Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Michigan Legal Publishing Ltd. with respect to this site and supersede all prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral, relating to the subject matter herein.

Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Michigan Legal Publishing Ltd. to be effective.

Force majeure. We are not liable for any delay or failure to perform any obligation under these Terms due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, internet or infrastructure failures, or governmental action.

Relationship of parties. Nothing in these Terms creates any employment, partnership, agency, joint venture, or franchise relationship between you and Michigan Legal Publishing Ltd. You have no authority to bind us in any way.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

15. Changes to these Terms

We may update these Terms from time to time. We will make reasonable efforts to notify users of material changes by posting a notice on the site. The effective date at the top of this page will reflect the date of the most recent revision. Continued use of the site after changes are posted constitutes your acceptance of the revised Terms.
