Art. 614 Venue

If you own stock in a corporation or have a stake in an unincorporated group (like some partnerships or associations), and you want to sue on behalf of that corporation or group to enforce its rights, you have to file the lawsuit in a specific place. That place is whatever parish counts as the proper venue for the corporation or association itself, not necessarily where you live or where you found out about the problem.

This type of lawsuit is called a "derivative action." It happens when the people running the corporation or association won't take action to protect its rights, so a shareholder, partner, or member steps in and sues on its behalf instead. Even though an individual person is filing the case, the law treats it like the corporation or association is the real party involved for purposes of deciding where the case can be filed.

In practice, this means you need to figure out where the corporation or association would normally be sued, such as where it has its main office or registered location, and file your case there. You can't pick a parish just because it's convenient for you.
