§ 1.9 Voting

Board members can cast their votes two ways. They can vote in person at a meeting, or they can let someone else vote for them by proxy. To use a proxy, the board member has to put that choice in writing ahead of time.

This gives board members flexibility if they can't attend a meeting in person. As long as they've properly designated someone in writing to vote on their behalf, their vote still counts even if they're not physically there.
