Rule 52 Alleging a Corporation

If someone in a lawsuit claims that a company is legally incorporated, the court will accept that as true without requiring any proof. The other side cannot simply say "prove it" and move on.

The only way to challenge whether a company is actually incorporated is to file a sworn statement (called an affidavit) signed by the opposing party, their representative, or their lawyer. Without that sworn denial, the incorporation claim stands as accepted fact in the case.
